Capital Deposit: The Largest Barrier for Non-Residents

Because a corporate bank account cannot exist before the company is incorporated, capital must be transferred into a personal Japanese bank account belonging to an incorporator (promoter). If you reside abroad and do not hold a personal bank account in Japan, you will need a structure that utilizes the Japanese bank account of a local co-promoter, inaugural director, or authorized representative.

Mandatory Provisions in Articles of Incorporation

Legal items such as business purpose, trade name, and head office location must be clearly specified. If you intend to operate vacation rentals (Minpaku) or hotels, your business purposes must be carefully drafted to align with future operating permits.

Application Date Equals Incorporation Date

The exact date on which you submit the application to the Legal Affairs Bureau is registered as your official company establishment date. Registration cannot be dated on official holidays.

Real Estate Investment in Niseko/Furano and the “Business Manager Visa”

If a foreign founder plans to reside in Japan and actively manage business operations or real estate properties, obtaining a Business Manager Visa is mandatory. Completing company registration alone does not grant legal residency to manage your business locally.

Note: Visa requirements underwent significant tightening following immigration regulations effective late 2025.

    Sponsors are required to employ at least one full-time worker who is a Japanese national or permanent resident.
  • Japanese Language Proficiency & Background Requirements:
    Either the foreign executive or the full-time employee must satisfy specific criteria regarding Japanese language ability (e.g., JLPT N2 or BJT 400+ points) as well as academic or managerial background (a relevant master’s/doctoral degree or 3+ years of management experience).
  • Securing an Independent Physical Office:
    The lease agreement must explicitly state commercial/business use. Note: A vacation rental property itself generally cannot be used as the corporate office. A separate dedicated office in Sapporo or the local region must be secured.
  • Business Continuity & Professional Assessment:
    In addition to a concrete financial forecasting plan, applicants must submit a business plan evaluated by a qualified professional, such as a Small and Medium Enterprise Consultant or Certified Public Accountant.
